Job Description: Reporting to the Vice President – Associate General Counsel, this role has primary responsibility for leading legal support of IT/SaaS and technology agreements, as well as supporting the Company’s technology transformation goals and special projects. This role also has responsibility for playing a leading role in the Legal department’s own technology transformation initiatives, as well as generally driving continuous improvements. This role may also assist with other commercial areas, which may include in the area of trademark licensing agreements, as well as providing counsel in other substantive areas as needed. Job Responsibilities: Assist in other substantive legal areas and work with members of Legal leadership, attorneys and staff on departmental matters as needed. Lead initiatives in legal team's technology transformation roadmap and in other areas of the Legal department Provide legal support to other areas of commercial agreements including drafting, negotiating and counseling on agreements, which may also include support of the Company’s trademark licensing program Lead the legal team's transactional support of Company’s technology transformation projects, as well as a wide range of IT, technology and SaaS agreements, including structuring, drafting, negotiating and counseling on agreements, including creative problem-solving, developing new templates and playbooks and delivering training Job Requirements: Excellent execution and organizational skills, attention to detail, and strong technology skills. Self-starter with a sense of urgency, ability to prioritize matters and to handle unanticipated situations effectively and work well under pressure with tight deadlines to ensure timely and appropriate response to issues raised. Deep, direct and broad experience and expertise in contract structuring, drafting, negotiating and advising on contract risks and mitigations, in the areas of IT/technology/SaaS agreements, and others, with the ability to effectively interact with all internal and external stakeholders and problem solve Substantial and demonstrable experience influencing at a senior level with business management on strategic issues. Broad range of relevant legal experience, including the ability to identify issues, connect dots, apply a business mindset, prioritize and resolve critical legal issues in real time, and escalate risks as appropriate. Firmness and courage to confront issues at every level. Excellent judgment and ability to handle sensitive and confidential information. Excellent verbal and written communication and presentation skills. Deep and direct experience in implementation of ERP systems and various system integration work Unquestioned personal integrity; seen as a role model for ethical principles and values of the company and practices required by law. Excellent leadership and interpersonal skills, with the ability to drive, lead, influence, provide points of view and listen. Experience in trademark licensing agreements preferred Ability to identify and use the most efficient and effective legal resources to complete the work in a timely and cost effective manner. Team player with ability to work effectively in a matrixed organization and interact with and command respect from company employees. Strong ability to quickly and efficiently adapt templates for novel business arrangements.
