Job Description:
The Senior Manager, Associate Counsel will provide legal support and work closely with the Sales and Trade Support departments of all Royal Caribbean Group cruise brands and provide legal assistance to other business units as needed, including but not limited to, marketing, revenue management, guest communications, e-commerce, entertainment, and other business teams. The Senior Manager, Associate Counsel will have responsibilities in the areas of contract drafting and negotiation, commercial transactions, update and upkeep of terms and conditions for trade-facing interactions and advising on commercial legal issues and regulatory matters. Often required to work on time-sensitive matters and handle a high volume of agreements. This attorney will report to a senior director but operate with significant autonomy and have considerable direct interaction with all levels of management. This attorney will be in Miami, Florida.
Job Responsibilities:
- Frequent and regular communication with responsible functional departments.
- Liaise with other attorneys, and various business groups on transactions, including finance, accounting, risk management and operations as needed, respond promptly to requests, clearly summarize, and communicate legal risks to business teams, and prioritize projects.
- Assist in update, review, and interpret issues pertaining to passenger ticket contracts and related policies of all cruise brands.
- Update and maintain contract templates and implement process efficiencies with an objective for continuous improvement of legal support to the organization; provide regular training to the business units.
- Manage legal matters pertaining to travel agents and travel agencies, including terms and conditions and interpretations of applicable laws and regulations.
- Serve as a primary legal contact for Sales and Trade Support, and draft, review, negotiate, and work closely with business clients in these departments on a wide array of agreements and support various projects and transactions.
- Advise on related legal and regulatory issues and risks, agreement structures, and strategy specific to trade partners and sales.
- Draft, review and negotiate a wide range of complex agreements including travel agency agreements, group sales and charter agreements, vendor agreements, production agreements, consulting agreements, services agreements and other contracts as departments need from time to time.
- Administration and resolution of legal issues that arise in existing commercial relationships; manage and/or provide support on pre-litigation and litigation matters relating to the above substantive legal areas.
Job Requirements:
- Excellent verbal and written skills and the ability to effectively communicate to all levels of the business.
- Ability to learn business requirements quickly, analyze legal and commercial risks and propose creative, business-oriented solutions, manage a high volume of contracts and legal requests in a timely manner.
- Strong team player and ability to work cross-functionally in a complex organizational structure.
- Proficiency in using various software programs to manage and organize workload and communicate to the business and colleagues, such as MS Office, SharePoint, Office 365, and DocuSign.
Qualification & Experience:
- Membership in the Florida Bar or willingness and qualification to be Registered In-House Counsel.
- 5+ years of experience in the practice of law with a significant focus on transactions relating to sales and, operations. Transactional experience required, either in-house or at a mid-size or large law firm. Advertising/ Marketing and data privacy experience is a plus.
- J.D. from an accredited U.S. law school.
